Terms of Business

These Terms of Business (“Terms”) apply when you purchase or receive services from us, including the Strategic Friction Diagnostic. By booking, paying for, or participating in services, you agree to these Terms.
1) Who we are

2) The service
Strategic Friction Diagnostic
The Diagnostic is a high-intensity, 1:1 diagnostic consultation designed to help you identify and resolve “strategic friction” (i.e., the structural mismatch between strategy, constraints, and the human executing it).
What’s included (unless otherwise agreed in writing): One 1:1 Diagnostic session (typically 90–120 minutes, minimum 1 hour, maximum 3 hours).
Written deliverables, provided after the session:
a Strategic Friction Map, and
an Alignment Brief (clear decisions/boundaries/moves for the next phase).
One follow-up consolidation call (30 minutes) within approximately one week of the session (timing may vary by scheduling).
Any additional support, implementation, ongoing advisory, retainers, or further work will be covered by a separate written agreement.
3) No professional advice; no guarantees
Our services are diagnostic and strategic in nature. They are not legal, tax, accounting, investment, medical, mental health, or therapeutic services.
While we provide strategic insights, these should not replace professional advice in areas such as legal, tax, financial, medical, or mental health fields. You are encouraged to seek independent advice tailored to your specific circumstances.
You are responsible for your decisions and actions. We do not guarantee outcomes, results, or specific performance improvements.
4) Booking and payment
Fees for the Diagnostic start at £750 (GBP). The fee you pay will be the price shown at checkout / on your invoice at the time of booking.
Payment is due in full upfront to secure your booking.
We accept payment via Stripe, PayPal, or bank transfer.
If payment is not received, the session is not confirmed and may be released.
5) Rescheduling, cancellation, and no-shows
Rescheduling by you
You may reschedule your session with at least 48 hours’ notice. We will offer the next reasonably available times.
Rescheduling requests inside 48 hours are treated as a late cancellation/no-show (see below), unless we agree otherwise in writing.
Cancellation by you
All purchases are non-refundable (see Section 6). If you cancel, you forfeit your investment.
No-shows
If you do not attend the session (or cannot be reached within a reasonable period after the scheduled start time), you:
forfeit the fee paid, and
lose the right to rebook under the same purchase.
Rescheduling/cancellation by us
If we need to reschedule due to illness, emergency, or unforeseen circumstances, we will:
offer a new date/time as soon as reasonably possible, or
if rescheduling is not workable, provide a full refund.
6) Refund policy
All payments are non-refundable, except where we cancel and cannot reschedule (see Section 5), or where consumer law requires otherwise.
7) Recording, transcription, and AI notes
Default position
To support accuracy and follow-through, we may:
record the session (audio/video),
create a transcript, and/or
produce AI-generated notes (e.g., via Zoom and Fathom AI).
Your consent
You consent to recording/transcription/AI notes as part of booking. We will capture this consent via booking terms/checkbox.
Opting out of recording
You may opt out of recording in advance.
Important: If you opt out of recording/transcription/AI notes, then:
no written Strategic Friction Map and
no written Alignment Brief
will be provided.
You should consider this trade-off when deciding whether to opt out.
You will still receive the live session and the follow-up call, unless we agree otherwise in writing.
8) Confidentiality
We will treat information you share with us as confidential and will not disclose it to third parties except:
with your consent, as required by law or legal process, for safeguarding concerns, to enforce these Terms or protect our rights or the safety of others, to our service providers who support delivery (e.g., scheduling, email, transcription), under appropriate confidentiality and data protection measures.
9) Data protection
Our handling of personal data is described in our Privacy Policy.
10) Client responsibilities
To get value from the Diagnostic, you agree to:
provide accurate information to the best of your knowledge,
attend on time and participate in good faith,
avoid submitting illegal, harmful, or infringing material,
take responsibility for implementation decisions and outcomes.
11) Intellectual property
All methodologies, frameworks, written deliverables, documents, and materials we provide remain our intellectual property unless stated otherwise.
You receive a limited, non-transferable licence to use deliverables for your own internal business purposes. You must not:
resell, distribute, publish, or sublicense deliverables,
share them publicly or with third parties (except your professional advisers under confidentiality),
remove copyright notices.
Breaches of intellectual property rights may result in termination of services and potential legal action to protect our interests.
12) Right to refuse or terminate services
We may refuse, pause, or terminate services if:
you breach these Terms,
you engage in abusive, threatening, or unsafe conduct,
we determine (in our reasonable discretion) that we cannot provide services effectively or ethically.
If we terminate due to your breach or conduct, payments remain non-refundable.
13) Complaints

We aim to respond to complaints within 5 business days and resolve them promptly and reasonably.
14) Governing law and jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or in connection with these Terms.
15) Miscellaneous
Severability: If any provision is unenforceable, the rest remains in effect.
Assignment: You may not transfer your rights/obligations under these Terms without our written consent.
Entire agreement: These Terms, together with the Privacy Policy and Cookie Policy, form the entire agreement for the Diagnostic unless replaced by a separate written agreement for additional work.
